Folio Referral and Analysis Application
License Agreement
Subject to the terms and conditions below, FOLIO ASSOCIATES grants to the above individual(s) or organization(s) (hereinafter, the "Licensee") an annual license, including one mid-year update, to use the data provided under this license Agreement.
1. The Licensee acknowledges and agrees that the data provided under this Agreement is confidential, valuable, and a copyrighted asset owned by FOLIO ASSOCIATES.
2. The Licensee agrees not to transfer, reproduce, compile, or copy the data in any form whatsoever without prior written permission from FOLIO ASSOCIATES or to post it on any Internet property without prior written permission from FOLIO ASSOCIATES.
3. The Licensee agrees not to resell, rent, sublicense, or make available the data to any other company, individual, or association, including without limitation any parent organization, subsidiary, or affiliate of the Licensee. The Licensee is prohibited from using the data either directly or indirectly to develop products or services which compete with Folio Associates or for any unlawful or prohibited advertising or telemarketing.
4. The data licensed by this Agreement is to be utilized for REFERRAL and ANALYSIS and excludes use in direct mail/promotional mailings.The data is to be used by one user at one workstation; the data may not be transferred over a network to other users or workstations unless otherwise specified.
5. FOLIO ASSOCIATES uses every reasonable effort to ensure the accuracy of its data using the sources of data and compilation methods normally employed by our company in the ordinary course of its business.FOLIO ASSOCIATES retains the right to seed the database to control usage. FOLIO ASSOCIATES makes no representations or warranties about the specific accuracy of its data and shall not be liable for damages or losses sustained by the Licensee as a result of the use of the data. FOLIO ASSOCIATES shall not be liable for any special or consequential damages, and in no event shall the liability exceed the cost of the data.
6. Licensee agrees to assume full responsibility for compliance with the License Agreement and to make written notification to FOLIO ASSOCIATES upon non-compliance. This Agreement shall be binding upon the undersigned, its principals and its agencies, agents, affiliates, and assignees.
